Elections will be held February 27th, from 6:30am to 8:00pm in the Cook classroom on the 2nd floor.

New/Current board members are to be voted on as well as the Bylaws.

Bylaws are outlined below for those that would like to read them before election day.

Local Unit Bylaws - PSNA

Article I- Name

The name of this local bargaining unit of the Ohio Nurses Association shall be known as the Professional Staff Nurses Association of Akron General Medical Center (the "unit").

Article II- Objectives

The objectives of the local bargaining unit shall be:

A. In conjunction with ONA, to negotiate, interpret and administer the collective bargaining agreement between ONA and Akron General Medical Center.

B. To give RN’s an effective voice in determining the terms and conditions of their employment which impact the quality of their work life and the ability to provide safe patient care.

C. To promote standards of professional practice.

D. To promote participation and growth in the professional association.

E. To promote standards of practice as defined by national nursing organizations and promote policies and positions related to nursing practice as determined by ANA, NFN, and other specialty organizations.

Article III – Membership

Membership in the local unit shall consist of Registered Nurses who are currently employed and hold titles/positions that are included in the collective bargaining agreement between ONA and Akron General Medical Center.

Article IV – Member Responsibilities

A. To remain current with dues, fees and assessments.

B. To have knowledge of and uphold the local unit and ONA bylaws.

C. To have knowledge of the collective bargaining agreement.

D. To make informed decisions in all local unit voting processes.

E. To participate in meetings/activities of the local unit.

F. To be informed about all programs of the ONA, and all tiers and affiliates of the professional association (local, district, state, national).

Article V – Administrative Authority/Responsibility

A. The highest level of authority that governs the conduct of the local unit is the membership. This authority is to be exercised at all regular and specialty meetings.

B. Between regular and specialty meetings of the membership, the highest level of authority is the Board of Directors.

C. In situations when there is no time to consult with the membership or Board, the next level of authority is the Executive Committee.

D. No subordinate body of the local unit shall transact any business which may affect the vital interests of the membership until securing the approval of the membership.

E. Notwithstanding the above, and consistent with the ONA bylaws, the local unit shall conform to such requirements as are established by the Economic and General Welfare Commission and the requirements of applicable laws.

Article VI – Officers/Duties

A. The officers of the local unit shall be Co-chairs (2), Secretary and Treasurer. They shall serve as the Executive Committee.

B. Duties of Officers

1. One or both Co-chairs shall preside at all meetings of the local unit. Co-chairs shall be an ex-officio member, with vote, of all committees, except the Nominating Committee. Committee assignments may be divided between the co-chairs.

2. The Secretary shall notify officers and committees of their election/appointment; send out notices of all local unit meetings and see that they are posted in the designated places; record and keep minutes of all meetings and those present; keep and keep a current roster of members; conduct and/or preserve all official correspondence and documents of the local unit; post notices of local, district, state and national meetings, activities/presentations.

3. The Treasurer shall conduct and record the financial affairs of the local unit which include: receive local unit dues and all other unit funds, keep an itemized account of all receipts and disbursements; follow all applicable financial policies/procedures, statutes and bylaws; submit completed filing forms as required by law, provide a written financial report at all board and regular membership meetings. Send copy of reports to the E&GW Commission.

Article VII – Board of Directors

The local unit Board of Directors shall consist of 11 members: the officers and 7 directors. One co-chair and 5 members of the BOD will constitute a quorum to conduct business.

Duties of the Board of Directors

1. To transact the business of the local unit in the interim between regular and special membership meetings.

2. To establish policies and procedures for the transaction of local unit business in accordance with the ONA bylaws, E&GW Commission policies and procedures and all requirements of applicable laws.

3. To establish and appoint members to standing/specialty committees. (Some committees may have members elected).

4. To establish financial policies and procedures in accordance with the ONA bylaws, E&GW Commission policies and procedures and all requirements of applicable laws; submit all books annually to a certified public accountant for audit and present the financial report and findings of the auditor to the membership and the E&GW Commission.

5. To determine the dates, times and place of all regular and special membership meetings.

6. Submit quarterly reports to the EGW Commission regarding BOD/Executive actions and unit activities.

7. Submit yearly evaluation to the E&GW Commission regarding ONA’s servicing of the local unit.

8. Send copies of all meeting minutes to the E&GW Commission.

9. Submit local unit bylaws and all proposed amendments to the E&GW Commission for review four (4) weeks prior to posting for a vote by the membership.

Article VII – Elections

A. Elections for officers and directors will be held every year in the month of January. Terms shall be staggered as follows: One co-chair, secretary and 4 directors in the odd year, one co-chair, treasurer, and 3 directors in the even year.

B. Officers and Directors shall serve for 2 year terms.

C. Officers and Directors may succeed themselves.

D. Majority vote of the members voting shall constitute an election.

E. Elections shall be held by secret ballot.

F. A tie between two individuals will be settled by a runoff election if there were more than two candidates in that category. When there are only two candidates in the category, the election will be determined by a coin toss by the head teller.

G. The circumstances and procedure for challenging an election shall follow Robert’s Rules of Order, Newly Revised and the requirements of applicable laws. The Economic and General Welfare Commission is to be notified of an election challenge and will oversee the challenge process.

H. The BOD shall appoint a tellers committee from local unit members not running for office.

I. The local unit Secretary shall notify ONA of newly elected officers and directors.

Article IX – Standing Committees

A. The standing committees for the local units are as follows:

1. The Executive Committee- shall consist of the local unit officers; are responsible for conducting the business of the local unit in situations described in Article V,C.

2. Grievance Committee- shall consist of local unit representatives; are responsible for interpreting and administering the terms of the collective bargaining agreement; oversee the filing and processing of grievances.

3. Negotiating Committee- shall consist of 8 members in good standing- the Co-Chairs, 3 members elected by the membership at large, 1 member appointed by the Board and 2 alternates elected by the membership at large according to policies/procedures established by the BOD as directed by the membership, shall function in accordance with the ONA Bylaws, E&GW policies and procedures and all requirements of applicable laws.

4. Nominating Committee- shall consist of 2 elected members; develop a ticket of members in good standing for election and present it to the BOD. The BOD shall present the ticket to the membership at least 1 month prior to the election.

5. Bylaws Committee- shall consist of 3 members (appointed); review proposed amendments to these bylaws and assure conformity to the ONA bylaws, E&GW Commission policies and procedures and requirements of all applicable laws; present recommended proposed amendments to the BOD for approval.

B. Additional committees can be formed at the direction of the membership subject to approval by the BOD or by collective bargaining agreement language. (Staffing/ Advisory, JOC, LMC)

Article X. Local Unit Representatives

A. Members in good standing who represent the membership in administering the collective bargaining agreement in a workplace setting.

B. Duties of the Local Unit Representatives

1. Advise members on issues pertaining to the collective bargaining agreement.

2. Investigate, file and process grievances.

3. Represent members in any disciplinary or potential disciplinary actions.

4. Serve as a liaison between members and management.

Article XI. Local Unit Dues

A. Dues will be set by the membership.

B. The local unit dues for all members can be found on the website.

C. Dues are payable to the Treasurer by January 31st for the ensuing year, if not paid by payroll deduction. Dues shall include ONA, PSNA and District dues.

Article XII. Meetings

A. Regular meetings of the local unit shall be scheduled at least 2 times a year.

B. Specialty meeting shall be scheduled by the BOD or by 10 members of the local unit by notifying the BOD.

C. Two officers and ten members shall constitute a quorum at any meeting of the local unit.

D. Notice of meetings shall be posted in designated areas easily accessible to members at least two (2) weeks prior to the meeting. Under special circumstances, meetings can be scheduled with less than one week notice.

Article XIII. Dual Unionism/ Serious Misconduct

A. Dual unionism is prohibited by this article and is defined as participating in or providing assistance to one or more labor organizations which are in direct competition with ONA. Local unit members who are in violation of this article are subject to discipline by the ONA.

B. Local unit members and officers may be sanctioned by the E&GW Commission if found guilty in violation of local unit bylaws, E&GW Commission policies and procedures, ONA bylaws or requirements of any applicable laws.

Article XIV. Parliamentary Procedure

The rules contained in Robert’s Rule of Order, Newly Revised shall govern meetings/functions of the local unit in all cases in which they are not inconsistent with these bylaws.

Article XV. Amendments and Effective Date

A. These bylaws may be amended at any regular or specially authorized local unit meeting by two-thirds vote of the members present and voting, provided the proposed amendments have been made known to all unit members and to the E&GW Commission no less than four weeks prior to the meeting.

B. These bylaws shall be effective immediately upon approval of the membership.

TO ALL THE MEMBERSHIP,

NEGOTIATIONS HAVE BEGUN.  THE FIRST SESSION WILL BE ON 2-23-11 AND CONTINUE EACH MONDAY WITH THE HOPES OF IT BEING COMPLETED BY  MID APRIL.
